This Membership Agreement (“Agreement”) shall govern the terms of your monthly membership plan with WomanWoRX, a subsidiary of Minnesota Women’s Care P.A. By becoming a WomanWoRX member, you signify acceptance of the following terms and conditions in addition to the website (the “Site”) Terms of Use and Privacy Policy, which are hereby incorporated into this Agreement. Any terms not defined herein shall have the meaning proscribed in the Terms of Use and Privacy Policy.

1. Membership Plan and Fee
   WomanWoRX offers a monthly membership plan (the “Membership Fee”) for both regular and maintenance membership plans. The membership plans provide you with access to offerings, including Fitness, Meditation, Mindfulness, Nutrition, Wellness, and Health Education at our in-person location and/or programs on www.womanworx.com. Access to in-person or online programs is dependent on your chosen membership package. The Membership Fee will be charged every month, on the date of your registration (the “Billing Date”). WomanWoRX reserves the right to change the Membership Fee with 15 days’ advanced written notice to you.
2. Physical Condition And No Medical Advice
   In selecting a membership plan, I represent that I am in good physical condition and have no medical reason or impairment that might prevent me from using WomanWoRX’s Site or Services. I acknowledge that WomanWoRX will not and cannot provide me with any medical advice relating to my physical condition and ability to perform the workouts provided. If I have any health or medical concerns now or after I join, I will seek consultation with a medical doctor before using the Site or Services. WomanWoRX may provide staff who provide adjustments and assist in class, which involves personal contact. If you wish not to have adjustments or assists, please verbalize this to your instructor; otherwise, you implicitly consent.
3. Risk of Injury Waiver
   I expressly agree that my use of the Site and Services shall be undertaken by me at my sole risk. I assume all risks of injury and waive all rights to pursue money damages or any other relief of any kind as a result of my use of the Site and Services. I acknowledge there is a risk of injury connected with any physical activity, and knowingly and voluntarily waive my right to make a legal or equitable claim of any sort against Minnesota Women’s Care, WomanWoRX, and all of its officers, contractors, employees, and agents. In the event I am injured as a result of using the Site or Services, I hereby forever release and discharge Minnesota Women’s Care, WomanWoRX, and its officers, contractors, employees and agents from any claims, demands, injuries, damages, costs, expenses, actions or judgments of any sort, including but not limited to claims for contribution and negligence. This assumption of risk and waiver of liability applies to my family members, successors, heirs, and assigns.
4. Term and Cancellation
   

   Your membership will automatically renew on a month-to-month basis until canceled. To cancel your membership, you must provide WomanWoRX with written notice before your next Billing Date. If you fail to provide written notice to cancel your membership after the monthly renewal period has commenced, your membership will continue through the next Billing Date and YOU WILL BE CHARGED for the month. Refunds will not be issued. Send all cancellation requests to: support@womanworx.com or cancel on our app. 

   Fitness Class Cancellation Policies:

   · Pilates Reformer Class Cancelation: There is a $15 late cancel fee (canceling in less than 12 hours before class), and a no-show fee of $20. 

   · All other Fitness Class Cancellations: There is a $15 late cancel fee (canceling in less than 2 hours before class), and an additional show fee of $20. 

5. Payment By Credit Card
   

   5.1. AUTHORIZATION. You authorize WomanWoRX to charge your credit card for monthly membership fees payable on the date of registration and each subsequent month of your membership. You also authorize WomanWoRX to charge your credit card for any other purchases you make through the Site, including but not limited to product purchases. You further authorize WomanWoRX to use a third party to process payments, and consent to the disclosure of your payment information to such third party. 

   5.2. OTHER CHARGES. You authorize WomanWoRX to charge your credit card for all fees incurred as outlined herein. 

   5.3. PAYMENT INFORMATION. You will keep your contact information up to date. You must provide thirty (30) days’ notice to cancel your membership, and to prevent future membership charges.

6. Nonpayment
   

   If you do not make timely payments according to your billing schedule, your payment will be considered delinquent. WomanWoRX’s delinquency process is as follows: (i) your membership account is suspended and access is revoked; (ii) you have five (5) days after notification (which may include email notice) to cure and pay account balance; (iii) if nonpayment is not cured within five (5) days, your account will be terminated and your account access will be permanently revoked; and (iv) to reinstate an account following termination, you must pay the outstanding account balance in full before entering into a new membership agreement.

   WomanWoRX may charge interest in the amount of 8.0% per year on any unpaid account balance that you maintain. Any partial payments you make will first be applied to interest and then to the unpaid fees owed to WomanWoRX.

7. Incorrect Billing
   If you believe you have been billed incorrectly, you must contact WomanWoRX within thirty (30) days of the date on the first billing statement in which the error or problem appeared.
8. Photograph Release and Marketing
   

   I release my medical photographs to Minnesota Women’s Care for medical, educational, training and promotional use. I give permission to Minnesota Women’s Care to use my photographs for said purposes and to reveal pertinent limited information about my medical condition in an effort to give a clinical presentation regarding my treatment and outcomes. 

   In the usage of said photographs and limited information, Minnesota Women’s Care will not identify me by name or any other method that would allow for identification of me in association with my photographs and/or medical history. 

   I may request copies of my photographs but acknowledge that they are the property of Minnesota Women’s Care and I may not use them for any purposes other than for my own personal medical records.
